Federal regulators have told a Dow Jones board member that they intend to file a civil complaint against him, in a suspected case of insider trading in company stock stemming from the takeover bid by the News Corporation, according to three people briefed on the matter.

David K. P. Li, a member of one of Hong Kong’s leading business families, has been a Dow Jones director since 1993, and he is chairman and chief executive of the Bank of East Asia, the largest local bank in Hong Kong. He is linked indirectly to a couple who turned an $8.2 million profit in a matter of days by buying a large amount of Dow Jones stock just before the takeover offer became public knowledge.
